Michael F. Marcos Manotoc is a highly experienced commercial lawyer. He has ten years of experience assisting local and international clients on various corporate matters including setting up of legal entities, mergers and acquisitions, foreign investments, energy, infrastructure, technology, logistics, and real estate, doing business concerns, and registration and general reporting requirements for corporate entities.
Mr. Manotoc began his career working as an associate in SyCip Salazar Hernandez & Gatmaitan Law Office, where he gained over three years of extensive training in various areas of law. He then worked as a senior associate with the Corporate and Commercial /M & A Practice Group of Quisumbing Torres Law Office, member firm of Baker & Mckenzie International, for six years.
- Advise a Singapore-based holding company in connection with its purchase of 50% of the share capital of a brand new holding company established in Hong Kong or Singapore which will in turn hold target companies engaged in C & I solar distributed generation businesses in Malaysia, the Philippines and the People’s Republic of China, including
- Performing legal due diligence on the target companies and projects in each of the aforesaid jurisdictions,
- Drafting, negotiating and revising the transaction documents to effect the sale and purchase of the sale shares and governance of the joint venture between the client and its strategic partner, a Thai renewable energy company and
- The completion of the share sale and purchase transaction.
- Advise a Dutch investment firm on various corporate matter in relation to the proposed acquisition by the client of shares in a Philippine corporation engaged in the business of fuel storage.
- Advise a Chinese investment company that operates in real estate, mining and energy, biomedicine, new materials, and venture capital investment sectors on various legal matters in connection with the proposed mixed-use development in Bonifacio Global City, to be built on land leased from the Bases Conversion and Development Authority.
- Advise a US-based multinational computer technology company in the acquisition of an Australian company providing mobile and web-based collaboration technologies for project information and process management, on a software as a service basis to various industries.
Mr. Manotoc obtained his undergraduate degree in Political Science and Literature from New York University (cum laude) and his Juris Doctor degree (awardee of the Dean’s Medal for Academic Excellence) from the University of the Philippines’ College of Law. He was admitted to the Philippine bar in 2014.
