Industry Experience

  • Counsel for a joint venture of Japanese and Filipino contractors undertaking the design and build works for a portion of the Metro Manila Subway Project (MMSP) – Phase 1 for the Republic of the Philippines through the Department of Transportation;
  • Assisted a domestic lending company in the proposed acquisition of a rural bank, including negotiation and drafting of relevant documentation (e.g., term sheet, transaction documents, shareholder agreements etc.) for the acquisition;
  • Assisted one of the largest global cryptocurrency platform providers in entering the Philippine market, including assistance in liaising with policy makers to create rules and regulations with technical assistance from private sector players;
  • Counsel for a joint venture between a Philippine agri-technology company and a U.S.-listed climate technology company in the structuring of the unincorporated joint venture and procurement compliance under Republic Act No. 9184.
  • Lead counsel in a US$47 million cross-border divestment involving the sale of a Philippine medical device distributor to a regional healthcare conglomerate, including advice on sector-specific licensing, product registration, labor and employee transfer, and bulk sales compliance.
  • Counsel for a leading global satellite service provider in connection with its regulatory entry and licensing strategy in the Philippines, including its engagement with the National Telecommunications Commission and other public stakeholders, resulting in the issuance of a provisional license and enabling satellite broadband services in underserved areas.
  • Assisted a Malaysian tech unicorn e-government provider for the bidding of an electronic payment clearance system for a Philippine government agency;
  • Counsel for a domestic construction company in various litigation pertaining to licenses and permitting requirements to proceed with a construction project;
  • Counsel for a Chinese and Filipino conglomerate in pursuing various renewable energy projects, such as solar and hydro, in the Philippines.
  • Counsel for a Philippine e-commerce platform for sale and purchase of agricultural goods and products through community buying;
  • Advised the Philippine Securities and Exchange Commission (SEC) in connection with a landmark zero-cost proof-of-concept public-private technology engagement, supporting the enhancement of the SEC’s investigatory and beneficial ownership analysis capabilities, including structuring, procurement compliance, data sharing, and data privacy arrangements.
  • Advised a global artificial intelligence, identity and fintech project, including Philippine legal strategy on data privacy compliance, regulatory risk assessment, and engagement with the relevant regulatory authorities.
  • Counsel for a joint venture between a Philippine agri-technology company and a U.S.-listed climate technology company in the structuring of the unincorporated joint venture and procurement compliance under Republic Act No. 9184.
